Before you request to join the corresponding category of subscribed sellers (hereinafter, the “Category”), you must carefully read and comply with all the contents of this agreement. Please read the contents of all the clauses carefully, and make sure you understand them, including, without limitation, the clauses on AliExpress' exemption or limitation of liability, the clauses on the limitations of the Seller's (as this term is defined below) rights and the clauses on conflict resolution, applicable law, and jurisdiction. If you have any questions about any clause in this agreement, please contact us through the AliExpress customer service, where you will be provided with the relevant explanations. If you disagree with any contents of this agreement or do not clearly understand the explanations on the clauses given by AliExpress, please refrain from any further action. Otherwise, the applicant corresponding to your AliExpress account will be understood to have accepted the following terms and conditions, and will be bound by this agreement.

 

 

AliExpress Service Agreement for Brazilian Sellers for AliExpress Platform

This agreement has been signed by Brazilian sellers (hereinafter, the “Seller” or “You”) and the service providers Alibaba.com Singapore E-Commerce Private Limited, with registered office in 8 Shenton Way, #45-01 AXA Tower, Singapore 068811, incorporated in Singapore with Company Reg. No. 200720572D, and AliExpress Russia Holding Private Limited, with registered office in 8 Shenton Way, #45-01 AXA Tower, Singapore 068811, incorporated in Singapore with Company Reg. No. 201917627W (hereinafter, collectively, “We”, “Us” or “AliExpress”). The Seller and AliExpress shall be jointly referred to as the “Parties” and each one as a “Party”. This agreement is binding.

 

Clause 1. Recital

 

1.1  The Parties shall comply with this agreement. The object of this agreement is to regulate the terms and conditions under which the Seller may offer to sell products on the AliExpress Platform (as this term is defined below).

 

1.2  The AliExpress Rules for Brazilian Platform Sellers” are part of this agreement; in addition to this agreement, You must comply with the “Alibaba.com Free Membership Agreement”, the “Alibaba.com Transaction Service Agreement”, the “Terms of Use”, the “Privacy Policy”, the AliExpress Product Listing Policy for Brazilian Platform Sellers and any other agreements entered into when You created your account (jointly referred to as the “Platform User Agreements”). The Platform User Agreements are available here.

 

 

1.3  The amount to be charged by AliExpress to the Seller will be a percentage over the value of each transaction performed by the Seller throughout the AliExpress Platform as indicated in the “The AliExpress Rules for Brazilian Platform Sellers ”.

 

 

Clause 2. Definitions

 

2.1  “AliExpress Platform”: means (a) the web and mobile-optimized versions of the website identified by the uniform resource locator “www.aliexpress.com”; and (b) the mobile application of the AliExpress e-commerce platform, or such successor mobile applications, sites and/or domains as may be announced by Us from time to time

 

2.2  “Category”: means the organization of the AliExpress Platform into main operating categories (including special categories), depending on the type of product and in accordance with their commercialization requirements. Each main category (as well as the special categories) has its own joining rules and/or agreement on the basis of the type of product, operating strategy and brand position, and will be generally governed by the joining AliExpress Rules for Brazilian Platform Sellers that are available. Regarding each main operating category, applications to join will be examined and decided upon individually.

 

In particular and without limitation, in case that you intend to sell virtual products and apply and/or sell goods into such category, you will be deemed to have accepted the virtual products seller related supplemental agreement available here  . Otherwise, please refrain and/or cease to offer any such virtual products.

 

 

2.3  “Category Service” or “Service”: means the service for the publication of contents on the AliExpress Platform (including, without limitation, information on You, the products which You offer, and the terms applicable to their commercialization) as well as other related technical services provided to You by AliExpress under the Platform User Agreements and this agreement, as part of its operating activities in each Category.

 

2.4  “Criteria for Performance Evaluation”: means the criteria for performance evaluation established for each calendar year in course and published by AliExpress here according to the performance peculiarities of each Category, including, without limitation, the adjustments made by AliExpress to the Criteria for Performance Evaluation on the basis of the different performance circumstances for each Category. Where AliExpress has not published criteria for the calendar year in course, the last criteria published in the relevant calendar year shall apply.

 

2.5  “Deregistration Process”: means the deregistration process that starts at the Seller's request, when decided by AliExpress, or when certain conditions for the termination of this agreement are met. During the Deregistration Process, AliExpress shall cease to provide the Category Services to the Seller and undertake the relevant Measures for the Management of the AliExpress Platform, the Seller shall fulfil its obligations and perform the actions stipulated in this agreement and in the applicable rules. The Deregistration Process is in turn divided into Category deregistration and deregistration from the AliExpress Platform.

 

2.6  “Measures for the Management of the AliExpress Platform”: means the measures that AliExpress can take in the cases of breach of this agreement by the Seller to ensure organised operation of the AliExpress Platform, including, without limitation, the removal and deregistration of products, the application of restrictions on the publication of products, the suspension of the Category Services, account deregistration, suspension, or closure, or, where applicable, instructing “Alipay.com Co. Ltd.”, Alipay Brasil Meios de Pagamento LTDA. and/or its affiliates to take measures limiting the Seller's “Alipay International Account”.

 

2.7  “Relevant Jurisdictions”: means the Russian Federation, Azerbaijan, Armenia, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Moldova, Turkmenistan, Tajikistan and Uzbekistan.

 

2.8  “Start of the Services”: means the process by which AliExpress notifies the Seller that it has successfully passed the process for acceptance as a Seller, and thus is authorised to publish products in the various Categories and use the Category Services, as stipulated in clause 4.

 

Clause 3. Coming into force and scope of application

 

3.1  You have voluntarily requested to join one or more corresponding AliExpress Category. AliExpress shall provide the Category Services as established in this agreement.

 

3.2  By clicking the accept button or signing this agreement, You are accepting and undertaking to fulfil this agreement in all its terms.

 

3.3  This agreement comprises the text of the agreement, its appendices, and all the rules and announcements published by AliExpress (including the “Criteria for Performance Evaluation”, the “AliExpress Rules for Brazilian Platform Sellers”, and the management rules for operation of each Category) (hereinafter, referred to jointly as the “Agreement”). This Agreement is part of and supplements the Platform User Agreements, with the same legal effects. AliExpress reserves the right to establish or modify any and all rules governing the AliExpress Platform at any time. In these cases, AliExpress shall notify Sellers from Brazil as provided in this Agreement, and at least 15 days in advance unless exceptional circumstances apply. The modified platform rules shall come into force from the relevant date, and become a part of this Agreement. Should You disagree with the relevant modification, You should refrain from continuing to use the Category Services. If You continue to use the Category Services, You will be understood to have no objections to the modified Agreement and undertake to fulfil it.

 

 

3.4  You hereby understand and accept that the acceptance of this Agreement does not entail the successful commencement of the Category Services. AliExpress will conduct a review of the information and documents with which You provide Us to join the AliExpress Platform and on the products that You offer, in accordance with any of the procedures described in the Agreement, or at such successor site and/or domains as may be announced by Us from time to time. Once the review process is satisfactorily completed, the Services shall start under this Agreement on such date as advised by AliExpress. The result of the review process shall be that notified by AliExpress or on the basis of specific limitations to the Start of Services.

 

 

3.5  This Agreement shall be effective from the date of its acceptance to 31 December of the year in which You join. For sellers who joined the AliExpress Platform before the start of the year in course, this Agreement shall be in force for the current calendar year. Without prejudice of the rights for modification granted to AliExpress in this Agreement, for successive periods, AliExpress may publish no later than mid-November of each calendar year the "AliExpress Service Agreement for Sellers for AliExpress Platform" applicable for the immediately following calendar year. Unless either Party notifies the other of its intention to terminate the Agreement at least thirty (30) calendar days before its expiration, it shall be understood that (i) the Seller has accepted the “AliExpress Service Agreement for Sellers for AliExpress Platform” applicable for the following calendar year; or (ii) the same "AliExpress Service Agreement for Sellers for AliExpress Platform" will continue to apply if AliExpress has not published a new version. It is the sole responsibility of the Seller to read carefully each and any new “AliExpress Service Agreement for Sellers for AliExpress Platform”. Where AliExpress has not published “AliExpress Service Agreement for Sellers for AliExpress Platform” applicable for the following calendar year, the currently applicable one shall continue to apply.

 

 

Clause 4. Start and limitation of the Category Services

 

4.1  The Category Services shall start within seven (7) business days from the fulfilment of the following conditions:

 

(a)   The Seller has become a member of AliExpress, and has accepted the Platform User Agreements, such as, and without limitation, the “Alibaba.com Free Membership Agreement” and the “Alibaba.com Transaction Service Agreement”.

 

(b)  The Seller has accepted this Agreement.

 

(c)   The Seller has provided all the information and documents required by each Category, and passed the AliExpress review process.

 

(d)  The Seller meets the “Criteria for Performance Evaluation” for the Category Services requested.

 

 

(e)   The Seller has paid following the AliExpress rules.

 

(f)   Prior to the request for the Services, there have been no cases of sale of counterfeit products, fraud, or other cases of serious non-compliance.

 

(g)  AliExpress has sent the Seller the notice regarding the Start of the Services.

 

4.2  The Services shall begin on the effective date of the Start of the Services, as established in the previous clause, and shall end with the Seller's deregistration from the Category or the termination of this Agreement.

 

4.3  Unless otherwise stipulated, AliExpress shall be entitled not to initiate the Service or to early terminate this Agreement within thirty (30) calendar days as of the Seller's acceptance of this Agreement, should any of the following circumstances take place: (i) the Seller has not fulfilled all the conditions set out in Clause 4.1 above for the Start of the Services, or (ii) AliExpress notifies the Seller for any reason of its refusal to the provision of Services.

 

AliExpress shall not be liable for any breach or pay any compensation for the termination of this Agreement prior to the Start of the Services as established above.

 

4.4  Once the Category Service has started, the Seller shall file a request with AliExpress and use the name of its business in accordance with the relevant AliExpress rules.

 

Clause 5. Technical services and expenses

 

5.1  AliExpress shall provide the Seller with the technical services related to the contents on the AliExpress Platform, including, without limitation, management of the Category, publication of Category products, transaction management services, and any other software and online technical services, as specified from time to time in the “Alibaba.com Transaction Services Agreement” which is incorporated into the “Alibaba.com Free Membership Agreement”.

 

5.2  The Seller agrees to pay AliExpress the commission in accordance with the Platform User Agreements, in particular the Alibaba.com Transaction Services Agreement and the AliExpress Rules for Brazilian Platform Sellers. Such commission shall be calculated for the transactions concluded by the Seller according to the fees schedule included therein. It is expressly agreed that:

 

(a)   with regard to orders placed by Relevant Jurisdictions’ buyers, the commission shall be collected by Alibaba.com Singapore E-Commerce Private Limited on behalf of AliExpress Russia Holding Private Limited; and

 

(b)  otherwise, the commission shall be collected by Alibaba.com Singapore E-Commerce Private Limited on its own name and behalf.

 

Clause 6. Rights and obligations of AliExpress

 

6.1  AliExpress has the obligation of performing maintenance work for normal operation of the Category Services, in order to enable the Seller to correctly conduct its activities within the Category which it has joined. AliExpress has the right to make adjustments to the type, commercialization conditions and quantity of the products published by the Seller (including, but without being limited to, changing the stock to 0), according to the circumstances of each Category, the Sellers' scope of activity, and the effective circumstances of their activity, particularly, but not limited to, when the Seller has breached any provision of this Agreement. Additionally, the Seller expressly authorizes AliExpress to adjust the commercialization conditions of the products published by the Seller when it is required to adjust to the conditions of promotions to which the Seller has decided to adhere.

 

6.2  In the event of a breach of the Agreement or the Platform User Agreements by the Seller, or should AliExpress have reasons to suspect that the Seller is conducting or may conduct actions that are harmful to the consumers, third-party right holders or AliExpress in breach of this Agreement or the Platform User Agreements or applicable law, AliExpress shall be entitled to take Measures for the Management of the AliExpress Platform regarding the Seller's AliExpress account (including, but without being limited to, changing the stock to 0), as well as any other AliExpress accounts managed by the Seller.

 

6.3  AliExpress has the right to establish and change the joining rules applicable to each Category, among others, to maintain normal operation of each Category.

 

6.4  AliExpress has no obligation to conduct audits on the Seller's commercial actions on the AliExpress Platform, the products, or any other actions pertaining to the transactions conducted on the AliExpress Platform. However, should AliExpress have grounds to suspect that the Seller is conducting or may conduct any actions in breach of this Agreement or the Platform User Agreements or applicable law, harming the rights of consumers, of third-party right holders, or of AliExpress during the transactions, AliExpress shall be entitled to conduct audits and require that the Seller provide any relevant supporting documents.

 

6.5  Without prejudice to the above, AliExpress has the right, but not the obligation, to conduct random inspections of the products sold (or to be sold) by the Seller to verify their legitimate origin and require that the Seller provides the corresponding supporting documents. AliExpress has the right, after conducting an initial examination of the legitimacy of the products according to the circumstances and applicable rules, to manage the products as established in the applicable legislation.

 

6.6  AliExpress has the right to establish the quality control criteria for the products in each Category, taking into account the quality requirements for the products published in their place of origin, sale, distribution, or in any other location, and to establish the requirements for entry and criteria for inspection of the Seller's products.

 

6.7  AliExpress shall in no case be responsible for the obligations arising from the commercial transactions which You conduct with the users through the AliExpress Platform. In particular, but without limitation, AliExpress shall not be responsible for delivering the products, their condition and suitability, for effectively complying with users’ right of withdrawal, for offering the legal guarantees established by the legislation in force, for offering post-sale services, etc.; which responsibility lie with you as Seller.

 

Clause 7. Representations and warranties of the Seller

 

7.1  The Seller has the legal and acting capacity to sign this Agreement, use the Category Services, and perform the sale of the products and the provision of services pertaining to them, pursuant to applicable law, which it undertakes to comply with at all times. In particular, but without limitation, the Seller confirms that it is and undertakes to continue to be the holder of all the licenses and administrative permits required for the lawful commercialization of the products on the AliExpress Platform. The Seller undertakes to ensure that all the actions performed under this Agreement are performed by staff with sufficient capacity and powers to legally represent and bind the Seller.

 

 

7.2 The Seller undertakes to act in good faith on the AliExpress Platform, comply with the principle of integrity, honesty, and fair competition, effectively protect the rights of consumers and third-party right holders, not to conduct unfair, unlawful, false, or inaccurate activities, and/or transactions or those that breach public morals and order or are harmful to the fair market and to the good faith of the AliExpress Platform. In particular, but without limitation, the Seller shall not:

 

(a)   offer misleading discount such as (i) marking up the product’s original price just before the campaign or promotion with the intention of creating a false promotion impression, or (ii) advertising a product as discounted from a price that was never offered or was offered for an insignificant period of time prior to the discount;

 

(b)   display unreasonably high, low or misleading price such as (i) exploiting exceptional circumstances to sell products at very high prices or (ii) advertising the sale of a product or service at a price but in actual fact, no items are available at that price;

 

(c)   advertise products or services at a discount for a “limited period” to mislead consumers into believing that there is a price benefit and scarcity in the availability of the promotional prices but in actual fact, the discounts are available for an extended duration; and

 

(d)   employ misleading packaging to mislead consumers into believing that within the product packaging there is a greater quantity of the product than is actually the case, that the product is of a better quality or that the product possesses certain other characteristics.

 

7.3 The Seller undertakes to provide true, legitimate, correct, updated and valid information and documents to AliExpress and consumers, and to ensure that such information as its email address, telephone number, postal address, and post code are the current ones, ensuring that AliExpress and other users can use the relevant data to contact the Seller. Likewise, the Seller has the obligation to provide updated information and documents should they change.

 

7.4 The Seller undertakes not to publish non-specific products for a Category under a specific Category and not to publish specific products for a Category under a non-specific Category.

 

 

7.5  The Seller represents that it is and undertakes to be, during the term of the Agreement, the holder of all the rights over the published products, including, without limitation, ownership or other right of legitimate use of the trademark and any other applicable rights of intellectual and industrial property. Likewise, the Seller undertakes not to publish or commercialize products that breach trademark or other intellectual or industrial property rights or commercialization rights of third parties, or to commit acts of unfair competition through the AliExpress Platform. The Seller declares that it is and undertakes to be, during the term of the Agreement, authorised to sell products in its home jurisdiction (as well as to any other jurisdiction to where the Seller may sell through AliExpress), and in particular through online marketplace platforms such as the AliExpress Platform.

 

 

7.6  The Seller undertakes to use the data obtained from AliExpress only to perform the relevant transactions on the AliExpress Platform, undertaking not to perform any other action, including, but without limitation, the copying, distribution, or any other public communication of the data of other users published on the AliExpress Platform.

 

7.7  The Seller undertakes to accept any inspections and audits conducted, if this were the case, by AliExpress regarding the lawful origin of the products. The Seller has the obligation to keep any document that might prove the legitimate origin of its products. Should the Seller be unable to prove the lawful origin of the products, AliExpress shall assess the authenticity of the products according to the circumstances. The Seller accepts to bear any consequence arising from an unfavourable assessment.

 

7.8  The Seller undertakes to accept any random inspections of the products that AliExpress may conduct to verify their quality and authenticity, in order to maintain adequate market continuity and guarantee the interests of the consumers and of third-party right holders (including, but without limitation, inspections conducted by independent quality inspectors or trademark holders, or cooperation through instructions to logistics companies to conduct said inspections). The Seller may express its disagreement with the outcome of the inspection by submitting supporting documents. The Seller shall bear any expenses reasonably incurred in any inspections that identify faulty products or products in breach of intellectual or industrial property rights.

 

Clause 8. Rights and obligations of the Seller

 

8.1  The Seller shall rigorously comply with this Agreement, including, but without limitation, the representations and warranties, as well as with any applicable laws which are in force from time to time.

 

 

8.2  The Seller shall conduct its activities in accordance with AliExpress Rules for Brazilian Platform Sellers and any other rules that govern the AliExpress Platform, and accept the penalties imposed under the AliExpress Rules for Brazilian Platform Sellers in the event of a breach; in particular, but without limitation, the Seller undertakes to participate and comply with the rules of any methods for the resolution of disagreements that might be implemented on the AliExpress Platform to handle claims from users or third-party right holders.

 

8.3  Without prejudice to the provisions in clause 4.1(d), the Seller shall have the right to take part in the promotions initiated or organised by AliExpress on special dates and periods (e.g., but without limitation, sales, Christmas, Valentine's Day, Mother's Day, Father’s Day, Children’s Day, Double Eleven and Black Friday) or promotions for specific product categories. The Seller shall apply best efforts to take part and consent the terms and conditions for adhering such promotional activities.

 

8.4  The Seller shall fulfil its consumer protection duties as set forth by the applicable law. In particular, but without limitation, it shall: (i) guarantee consumers' rights at all times; (ii) comply with the requirements set by applicable law as regards returns, replacement, legal guarantee and right of withdrawal; and (iii) provide information on the Seller as well as on products offered for sale, provide post-sale services and guarantees in accordance with legal requirements and provide consumers with the information legally required prior to and after transactions.

 

8.5  The Seller shall comply with all the applicable laws and regulations (including the applicable Brazilian, State, regional, and local regulations), including, but without limitation, laws regarding customs, taxation, the protection of consumer rights, data protection, and any other applicable regulations.

 

8.6  The Seller undertakes to collaborate at all times with any competent administrative and legal authorities.

 

Clause 9. Authorisation for data use

 

9.1  As regards the Start of the Services, You hereby authorise AliExpress to use and communicate the public information that is part of your data (e.g. information about your activity licence).

 

 

Clause 10. Liability for infringement

 

10.1     Should AliExpress suffer damages, receive claims from users or third parties, or be subject to sanctions imposed by any public administration, jurisdictional bodies, or arbitration courts, as a result of the breach by the Seller of applicable laws and regulations, court or administrative ruling, of the Platform User Agreements, or of this Agreement, You shall compensate AliExpress for all the damages suffered, including, but without limitation: compensation for breach paid by AliExpress or any other compensation paid to third parties in any type of ruling; the amounts AliExpress would have paid to buyers due to return or withdrawal, breach of contract, or compensation; sanctions imposed to AliExpress; the legal fees and expenses incurred by AliExpress when required to remove negative consequences, etc. AliExpress is entitled to preferential deduction of the deposit made by the Seller, and the Seller shall pay any difference.

 

10.2   Should the Seller have any amount due and payable to AliExpress, unless otherwise agreed, it shall pay AliExpress a daily penalty for breach equal to 0.5% of the unpaid amount.

 

10.3   Should AliExpress cause significant damage to the Seller due to wilful intent or gross negligence, AliExpress shall compensate the Seller pursuant to Clause 13 of this Agreement. The compensation for contractual breach or compensation which AliExpress must pay to the Seller shall be calculated on the basis of the direct and effective damages suffered by the Seller.

 

10.4   If You have been deregistered by AliExpress due to a distribution of products that breaches intellectual or industrial property rights, or because You provided AliExpress or its users with false, falsified, obsolete, or invalid data, this shall be regarded as a serious breach of this Agreement, and AliExpress shall be entitled to deduct the entire amount of Your deposit, without prejudice to the other measures provided in this Agreement.

 

Clause 11. Confidentiality

 

11.1   Under this Agreement, “Trade Secrets” shall mean, among others, this Agreement, any other agreement or supplementary agreement, and any other confidential information obtained, received, or processed as a result of the relationship between the Parties. No Party may disclose, reveal, edit or display said information to third parties without express consent from the Party disclosing the Trade Secret. The confidentiality obligations set out in this Clause shall remain in force for three (3) years from the date of termination of this Agreement.

 

11.2   Except as otherwise provided by statutory rules, the Party that has disclosed or revealed a Trade Secret shall be exempt from liability (a) when the other Party has approved its disclosure in writing or its disclosure is required by any public or legal authority, or (b) when the information becomes public.

 

Clause 12. Prevention of bribery

 

12.1   Should the Seller, its employees, managers, shareholders, legal representatives, or any person exercising effective control over the Seller, or its related companies, be found to have offered AliExpress, companies related to AliExpress or its employees or advisors any benefit that exceeds the ordinary, be it in kind, cash, goods, or rights similar to cash, services, travel, etc., the Seller shall be regarded as having engaged in bribery.

 

12.2   Should the above circumstances occur, AliExpress shall be entitled to terminate any relationship with the Seller (including, among others, the relationship based on this Agreement) and to (at AliExpress’ discretion) receive from the Seller a penalty for breach of contract for the amount of RMB 100,000 or its equivalent amount in BRL at the prevailing exchange rate of RMB/BRL and/or compensation calculated on the basis of the financial and image damages suffered by AliExpress due to the act of bribery.

 

Clause 13. Exemption and limitation of liability

 

13.1   You hereby acknowledge and agree that AliExpress shall provide the Category Services in accordance with the “state of the art” or “best state of the art achievable” at any time. AliExpress, on the basis of the current state of the art, shall devote every effort to offer the relevant security measures and guarantee the security and normal operation of the services. However, the Services are provided “as is”, with no guarantee or condition of any kind, be it explicit or implicit. AliExpress expressly declares that, due to the potential existence of such circumstances as viruses, disruptions in the network connection, system maintenance, etc., as well as any potential force majeure, it does not grant any guarantee regarding the Services, explicitly or tacitly. In particular, it does not guarantee, among other aspects, the applicability, absence of errors or failures, continuity, accuracy, or reliability of the Services, or that they are suitable for a specific purpose.

 

13.2   AliExpress shall not be liable for any damages or losses caused by the following circumstances, including, among others, loss of income, goodwill, damages derived from use, data loss, and other intangible damages or losses (regardless of whether AliExpress has been notified of the potential existence of said damages).

 

13.3   You hereby acknowledge that AliExpress and its related companies are not judicial bodies and are not responsible for verifying your compliance or non-infringement with/of the applicable laws and regulations and other third party rights. Thus, when it comes to verifying and checking the documents and materials provided by You and the buyers, it can only do so at an ordinary, non-professional level of knowledge, in a merely superficial manner. You hereby guarantee that the documents and materials which You provide are authentic, correct, updated, and legal, and assume any risks from the falsity, unlawfulness, and inaccuracy of the information or data provided by You or the buyer. Should You suffer any damages due to the above, You agree that You shall file a claim directly against the infringing party. Should AliExpress and its related companies mediate in the dispute, You hereby acknowledge and agree that AliExpress shall only act on your instructions. AliExpress and its related companies cannot guarantee that the result of the mediation will meet your expectations, and shall not be held liable for the outcome of the mediation or, if applicable, for payment of any security.

 

13.4   You hereby acknowledge and agree that the maximum total liability of AliExpress and its related companies regarding this Agreement and arising from its acceptance and enforcement shall be RMB 3,000 or its equivalent amount in BRL at the prevailing exchange rate of RMB/BRL. To this end, whether a breach of contract or civil liability has occurred, whether wilful intent or fraud was involved, or whether You have paid AliExpress for any expenses shall be irrelevant. All this without prejudice to the exemption or limitation of liability of AliExpress by virtue of this Agreement or any other agreement or pact signed with You.

 

Clause 14. Termination of the Agreement

 

14.1   Automatic termination:

 

(a)   Without prejudice of what is provided in Clause 3.5, this Agreement shall terminate at the end of its term.

 

(b)  When the Platform User Agreements, such as, and without limitation, the “Alibaba.com Free Membership Agreement”, and the “Alibaba.com Transaction Services Agreement”, or the other agreements signed by You terminate for any reason, this Agreement shall be automatically terminated.

 

14.2   Early termination:

 

(a)   Unless otherwise agreed, either Party may terminate this Agreement by notifying the other Party in writing thirty (30) calendar days in advance, with no liability. If the Seller clicks the “Request exit” button in the AliExpress Platform (if applicable) to request the termination of this Agreement, the Seller shall be regarded as having made the communication in writing for the termination of this Agreement. The Seller shall immediately enter the Deregistration Process.

 

(b)  Any Seller commercialising special brands shall comply with the conditions listed in the relevant AliExpress rules as may be announced by Us from time to time, and may only terminate this Agreement with AliExpress' authorisation after confirming that the following conditions are met:

 

 

•      There are no pending transactions involving products of the brands in their area;

 

•      There are no “Product Warranty Services” pending resolution for the products of the brands in their area;

 

•      There are no pending claims regarding the products of the brands in their area, and all compensations have been paid and settled.

 

(c)   In any of the following cases, AliExpress is entitled to immediately terminate the provision of the Category Services and/or the termination of this Agreement, with no liability:

 

•      You have not paid by the deadline set, and You have not made said payment by the deadline established for AliExpress after a claim was filed;

 

•      You have provided false, inaccurate, unlawful, obsolete, or invalid information or documents, or the Seller cannot prove the veracity, correctness, lawfulness, updated nature, or validity of its information or documents;

 

•      You have breached the laws, regulations, and policies of the relevant country (including the applicable Brazilian regulations), and in particular, but without limitation, You have breached the applicable customs, taxation, consumer rights protection, data protection, and any other applicable regulations;

 

•      You have breached any representation or warranty, or You have breached the provisions in Clauses 10 or 11;

 

•      You have breached the Platform User Agreements or related regulations, AliExpress has proceeded to deregister You, or has terminated the Platform User Agreements signed with You;

 

•      You have breached the Criteria for Performance Evaluation and/or the operation management standards;

 

•      You have breached any agreement with companies related to AliExpress;

 

•      You have committed or may commit other actions that seriously damage the interests or commercial reputation of AliExpress, or the interests of AliExpress Platform users or any third party.

 

(d)  If the Seller has not logged into AliExpress using the username and password of the AliExpress account for more than ninety (90) days, AliExpress is entitled to terminate this Agreement.

 

(e)   The occurrence of or compliance with any other condition for termination stipulated in this Agreement, leading to the termination of this Agreement.

 

14.3   Actions after the termination of the Agreement:

 

(a)   Once this Agreement has terminated, AliExpress does not have the obligation under this Agreement to keep any data or information pertaining to Category Services in the Seller's account, or forward any information to third parties, and shall not be liable towards the Seller or third parties due to the termination of this Agreement.

 

(b)  You hereby undertake to continue to comply, regarding the transactions conducted on the AliExpress Platform, with all applicable laws to said transactions, in particular, without limitation, the applicable laws to sale to consumers, such as guarantees, post-sale services, data protection, and any other applicable regulations.

 

(c)   Regardless of the grounds for termination of this Agreement, any compensation or liability for actions prior to its termination shall be borne in its entirety by the Seller.

 

(d)  AliExpress has the right to remove any information uploaded by the Seller about the products under each Category and any other related information, when the Seller leaves said Category or due to the termination of this Agreement.

 

(e)   If the Seller has reached a transactional agreement with an AliExpress buyer regarding a certain product, AliExpress is entitled to cancel said transaction at its own discretion. AliExpress has the right to notify the buyer in the transaction of the termination of this Agreement.

 

 

14.4   Actions prior to the termination of the Agreement:

 

(a)   Completing the Deregistration Process. When the Seller requests the termination of, or AliExpress takes the decision to terminate, the provision of the Category Services and/or this Agreement, the Deregistration Process shall start, and the Seller shall:

 

•      Process and complete all ongoing transactions;

 

•      Process and complete all transactional disputes, controversies over the infringement of rights, or any other infringement or breach;

 

•      Comply with any sanction received, pay any fine imposed; and

 

•      Ensure that there are no other breaches of contract or pending and enforceable obligations under other contractual relations.

 

(b)  Once the Deregistration Process has started, AliExpress shall be entitled to suspend or terminate, totally or partially, the provision of the Category Services.

 

(c)   When the Seller has completed the Deregistration Process for each Category, should any payment have to be reimbursed, it shall be paid within thirty (30) business days from the Seller's exit from each Category. In the event of termination of this Agreement, the reimbursement shall be made within thirty (30) business days from its termination.

 

Clause 15. Notices

 

15.1   Once You have been included in a Category and have accepted the AliExpress Platform services, You must ensure the validity of the contact data provided in the Seller profile (including your email address, telephone number, postal address, etc.). If your contact data change, You have the obligation to immediately provide the relevant data in English and in the local language of the country/countries to which you mainly sell through the AliExpress Platform, so that We can locate You.

 

 

15.2   The user account (including subaccounts) generated when You create your login into the AliExpress Platform to access the AliExpress Platform and receive website messages and information from the system and via any discussion forum provided by AliExpress and/or its affiliates shall be valid media for communication.

 

15.3   AliExpress may send You messages using one or several of the media specified in clauses 15.4 and 15.2. These communications may contain information that may have a positive or a negative impact on your rights and obligations, so You must be up to date with them.

 

15.4   Communications sent by AliExpress: (i) if made in writing by electronic media, including, but without limitation, public communications on the AliExpress Platform, the text messages sent to the telephone number provided by You, the emails sent to the email address provided by You, the system messages and the internal website messages shall be regarded as validly delivered when they are successfully sent; (ii) if made in writing in print, they shall also be regarded as validly delivered as of the fifth calendar day from the day the sending was done to the provided postal address.

 

15.5   Regarding any dispute arising from the transactional activities on the AliExpress Platform, You authorise the delivery of legal documents (including, without limitation, claims) from the judiciary authorities, arbitration courts, or administrative authorities through the media specified in clause 15.4 above or by any other media or by post. The mobile telephone number, the email address and other channels for communication specified by You are the mobile telephone number, the email address and other channels for communication provided during the registration and updating of your AliExpress Platform account. The legal documents sent by the judiciary, arbitration, or administrative authorities through the media above shall be regarded as delivered as stipulated in the previous clause. The postal address specified by You is your legal address for contact or the postal address that is valid for communications with which You have provided Us.

 

15.6   You accept that the judiciary, arbitration, or administrative authorities may send You legal documents through one or more of the aforementioned media. When made through several media, the time of delivery shall be that of the medium which is first received.

 

15.7   You accept that the aforementioned media for delivery shall apply to all the stages of the relevant judiciary, arbitration, or administrative procedures, and that, should said proceedings be initiated, they shall apply, including, without limitation, to the first and later instances, as well as to enforcement or follow-up proceedings.

 

15.8   You must ensure that the channels for communications provided are correct, valid, and duly updated. Should the delivery of any legal documents be delayed or prevented due to the inaccuracy of the channels for communication or the failure to update them after changes, You shall be responsible for any legal consequences that might arise.

 

Clause 16. Assignment of rights and obligations

 

16.1   The rights and authorisations of AliExpress under this Agreement may be totally or partially outsourced, assigned, transferred, licensed, delegated, or sublicensed to related companies or to any third party with no need for prior authorisation from You. You may not transfer the rights and obligations under this Agreement to any third party without previous authorisation in writing from AliExpress.

 

Clause 17. Miscellaneous

 

17.1   Regarding those material matters that are not agreed in or not affected by this Agreement, the AliExpress Rules for Brazilian Platform Sellers, the Platform User Agreements or any other applicable rules of the AliExpress Platform shall apply.

 

17.2   Should any clause or part of clause be declared to be invalid or not enforceable, said clause or part of a clause shall be removed, with the other clauses or part of clause retaining their full legal effectiveness.

 

17.3   The validity, interpretation, modification, execution, and settlement of conflicts regarding these clauses shall be governed by the laws of the Special Administrative Region of Hong Kong of the People's Republic of China (“Hong Kong”).

 

17.4 Any controversies arising from the signing, fulfilment, or interpretation of this Agreement, or otherwise between the Seller and AliExpress, shall be settled by amicable agreement.

 

Should an agreement not be reached, AliExpress and You accept to subject yourselves to the courts and tribunals of Hong Kong.

 

Notwithstanding the foregoing, AliExpress may cooperate with mediation bodies to reach out-of-court settlement of disputes with Sellers who are acting in the context of their commercial or professional activities. Before starting such mediation process, Sellers shall attempt to resolve the controversy by contacting AliExpress customer service (through the seller support online chat). AliExpress is not required to engage in such mediation process and this does not affect the Seller’s or AliExpress’ right to bring legal proceedings, during or after the mediation process. 

 

17.5   In case of conflict between the English version and the version in any other language of this Agreement, the English version shall prevail.

Caso contrário, o solicitante correspondente à sua conta AliExpress será entendido como tendo aceito os seguintes termos e condições, e estará vinculado a este contrato.

 

Contrato de Serviço AliExpress para Vendedores do Brasil para a Plataforma AliExpress

Este contrato foi assinado pelo usuário vendedor do Brasil (doravante "Vendedor" ou "Você") e os prestadores de serviços Alibaba.com Singapore E-Commerce Private Limited, com escritório na 8 Shenton Way, #45-01 AXA Tower, Singapore 068811, registrada em Singapore com Company Reg. No. 200720572D, e AliExpress Russia Holding Private Limited, com escritório na 8 Shenton Way, #45-01 AXA Tower, Singapore 068811, registrada em Singapore com Company Reg. No. 201917627W ("Nós" ou "AliExpress"). O Vendedor e a AliExpress serão referidos conjuntamente como "Partes" e cada um deles como uma "Parte". As disposições do presente contrato são vinculantes.

 

Cláusula 1. Preâmbulo

 

1.1 As Partes deverão cumprir este contrato. O objeto deste contrato é regular os termos e condições sob os quais o Vendedor poderá ofertar/comercializar seus produtos na Plataforma AliExpress (conforme definido abaixo).

 

1.2 "As Regras AliExpress para Vendedores da Plataforma do Brasil" fazem parte deste contrato. Além deste contrato, você deve cumprir com o "Acordo de Livre Associação Alibaba.com", o "Acordo de Serviço de Transação Alibaba.com", os "Termos de Uso", a "Política de Privacidade", a "Política de Lista de Produtos" e quaisquer outros contratos e acordos celebrados no momento em que Você criou sua conta (coletivamente denominado como "Contratos de Usuário da Plata forma"). Os "Contratos de Usuário da Plataforma" estão disponíveis aqui.

 

 

1.3 O valor a ser cobrado pela AliExpress será uma porcentagem sobre o valor de cada transação realizada pelo Vendedor através da Plataforma AliExpress, conforme indicado nas Regras AliExpress para Vendedores da Plataforma do Brasil.

 

 

Cláusula 2. Definições

 

2.1 "PlataformaAliExpress": significa (a) a versão web e as versões otimizadas para dispositivos móveis do site identificadas pelo localizador uniforme de recursos (URL) "www.aliexpress.com"; e (b) o aplicativo para dispositivos móveis da plataforma de comércio eletrônico da AliExpress, ou os aplicativos para dispositivo móveis, sites e/ou domínios que possam ser anunciados por Nós de tempos em tempos.

 

2.2 "Categoria": significa a organização da Plataforma AliExpress em categorias operacionais principais (incluindo categorias especiais), dependendo do tipo de produto e de acordo com seus requisitos de comercialização. Cada categoria principal (assim como as categorias especiais) tem suas próprias regras de adesão e/ou acordo com base no tipo de produto, estratégia operacional e posição da marca, e será geralmente regida pelas Regras AliExpress para Vendedores da Plataforma do Brasil que estão disponíveis aqui. Em relação a cada categoria principal de operação, os pedidos de adesão serão analisados e decididos individualmente.

 

Especificamente, e sem limitação, caso você pretenda vender produtos virtuais e aplicar e/ou vender mercadorias para/em tal categoria, Você será considerado como tendo aceito o acordo suplementar relacionado ao vendedor de produtos virtuais disponível aqui. Caso contrário, favor abster-se e/ou cessar a oferta de tais produtos virtuais.

 

2.3 "Categoria de Serviço" ou "Serviço": significa o serviço destinado à publicação de conteúdos na Plataforma AliExpress (incluindo, mas não limitando a, informações sobre Você, sobre os produtos que Você oferece e sobre os termos aplicáveis à comercialização deles), bem como outros serviços técnicos relacionados e fornecidos à Você pela AliExpress, nos termos dos Contratos de Usuário da Plataforma, e deste instrumento, como parte de suas atividades operacionais em cada Categoria.

 

2.4 "Critérios para Avaliação de Desempenho": significam os critérios para avaliação de desempenho estabelecidos para cada ano calendário e aqui publicados pela AliExpress de acordo com as peculiaridades de desempenho de cada Categoria, incluindo, mas não limitando a, os ajustes feitos pela AliExpress aos Critérios para Avaliação de Desempenho com base nas diferentes circunstâncias de desempenho para cada Categoria. Caso a AliExpress não tenha publicado os critérios para o ano em curso, serão aplicados os últimos critérios publicados no ano anterior.

 

2.5 "Processo de Cancelamento de Registro": significa o processo de cancelamento de registro que se inicia a pedido do Vendedor, quando decidido pela AliExpress, ou quando certas condições para o término deste contrato são preenchidas. Durante o Processo de Cancelamento de Registro, a AliExpress deixará de prestar os Serviços de Categoria ao Vendedor e empreenderá as Medidas aplicáveis para a Administração da Plataforma AliExpress, o Vendedor deverá cumprir suas obrigações e executar as ações estipuladas neste contrato e nas regras aplicáveis. O Processo de Cancelamento de Registro é, por sua vez, dividido em cancelamento de registro de Categoria e cancelamento de registro da Plataforma AliExpress.

 

2.6 "Medidas para o Gerenciamento da Plataforma AliExpress": significam as medidas que a AliExpress poderá executar nos casos de violação deste contrato por parte do Vendedor para assegurar o devido funcionamento da Plataforma da AliExpress, incluindo, mas não limitando a, a remoção e o cancelamento do registro de produtos, a aplicação de restrições à publicação de produtos, a suspensão da Categoria de Serviço, o cancelamento do registro, suspensão ou fechamento de conta, ou, quando aplicável, instruindo "Alipay.com Co. Ltd.", Alipay Brasil Meios de Pagamento LTDA e/ou suas afiliadas para tomar medidas que limitem a "Alipay International Account" do Vendedor.

 

2.7 "Jurisdições aplicáveis": significa a Federação Russa, Azerbaijão, Armênia, Belarus, Geórgia, Cazaquistão, Quirguistão, Moldávia, Turcomenistão, Tadjiquistão e Uzbequistão.

 

2.8 "Início dos Serviços": significa o processo em que a AliExpress notifica ao Vendedor que ele passou com sucesso pelo processo de aceitação como Vendedor e, portanto, está autorizado a publicar produtos nas diversas Categorias e usar os Serviços de Categoria, conforme estipulado na cláusula 4.

 

 

Cláusula 3. Entrada em vigor e escopo de aplicação

 

3.1 Você solicitou voluntariamente a adesão a uma ou mais categorias da AliExpress. A AliExpress prestará os Serviços de Categoria conforme estabelecido neste contrato.

 

3.2 Ao clicar no botão aceitar ou assinar este contrato, Você estará aceitando e se comprometendo a cumprir este contrato em todos os seus termos.

 

3.3 Este contrato compreende seu texto, anexos e todas as regras e anúncios publicados pela AliExpress (incluindo os "Critérios para Avaliação de Desempenho", as "Regras AliExpress para Vendedores da Plataforma do Brasil" e as regras de administração para operação de cada Categoria) (doravante referidos conjuntamente como o "Contrato"). Este Contrato faz parte e complementa os Contratos de Usuário da Plataforma, com os mesmos efeitos legais. A AliExpress reserva-se ao direito de estabelecer ou modificar toda e qualquer regra que regule a Plataforma AliExpress a qualquer momento. Nestes casos, a AliExpress deverá notificar os Vendedores do Brasil, conforme previsto neste Contrato, e com não menos de 15 dias de antecedência, a menos que haja circunstâncias excepcionais. As regras modificadas da plataforma entrarão em vigor a partir da data aplicável, e se tornarão parte deste Contrato. Caso Você não concorde com a(s) modificação(ões), Você deverá abster-se de continuar utilizando os Serviços de Categoria. Se Você continuar a usar os Serviços de Categoria, será entendido que Você não tem objeções ao Contrato modificado e se compromete a cumpri-lo.

 

 

3.4 Pelo presente instrumento, Você concorda que entende e aceita que a aceitação deste Contrato não implica o início bem sucedido dos Serviços de Categoria. A AliExpress conduzirá uma revisão das informações e documentos que Você nos forneceu para aderir à Plataforma AliExpress e nos produtos que Você oferece, de acordo com qualquer um dos procedimentos descritos no Contrato, ou no site e/ou domínios sucessores que venham a ser anunciados por Nós de tempos em tempos. Uma vez que o processo de revisão for satisfatoriamente concluído, os Serviços serão iniciados de acordo com este Contrato na data respectiva, conforme informado pela AliExpress. O resultado do processo de revisão será notificado pela AliExpress ou com base em limitações específicas para o Início dos Serviços.

 

3.5 Este Contrato entrará em vigor a partir da data de sua aceitação até 31 de dezembro do ano em que Você ingressar na plataforma. Para os vendedores que aderiram à Plataforma AliExpress antes do início do ano em curso, o presente Contrato vigorará a partir do ano calendário atual. Sem prejuízo dos direitos de modificação concedidos à AliExpress neste Contrato, por períodos sucessivos, a AliExpress poderá publicar, até meados de novembro de cada ano calendário, o "Contrato de Serviço AliExpress para Vendedores para a Plataforma AliExpress" aplicável para o ano calendário seguinte. A menos que uma das Partes notifique a outra sua intenção de terminar o Contrato no prazo não inferior a trinta (30) dias corridos antes de sua expiração, entender-se-á que (i) o Vendedor aceitou o "Contrato de Serviço AliExpress para Vendedores para a Plataforma AliExpress" aplicável para o ano calendário seguinte; ou (ii) o mesmo "Contrato de Serviço AliExpress para Vendedores para a Plataforma AliExpress" continuará a ser aplicado caso a AliExpress não tenha publicado uma nova versão. É de responsabilidade exclusiva do Vendedor ler cuidadosamente cada um e qualquer novo "Contrato de Serviço AliExpress para Vendedores para a Plataforma AliExpress". Caso a AliExpress não tenha publicado o "Contrato de Serviço AliExpress para Vendedores para a Plataforma AliExpress" aplicável para o ano calendário seguinte, a versão atual aplicável continuará a ser aplicável.

 

 

Cláusula 4. Início e limitação dos Serviços de Categoria

 

4.1 Os Serviços de Categoria devem começar dentro de sete (7) dias úteis a partir do cumprimento das seguintes condições:

 

(a) O Vendedor tenha se tornado membro da AliExpress, e aceitado os Contratos de Usuário da Plataforma, tais como, e sem limitação, o "Acordo de Livre Associação Alibaba.com" e o " Acordo de Serviço de Transação Alibaba.com".

 

(b) O Vendedor aceitou este Contrato.

 

(c) O Vendedor forneceu todas as informações e documentos exigidos por cada Categoria, e passou no processo de revisão da AliExpress.

 

(d) O Vendedor atende aos "Critérios de Avaliação de Desempenho" para os Serviços de Categoria solicitados.

 

(e) O Vendedor pagou seguindo as regras da AliExpress.

 

(f) Antes da solicitação dos Serviços, não houve casos de venda de produtos falsificados, fraude, ou outros casos de não conformidade grave.

 

(g) A AliExpress enviou ao Vendedor o aviso referente ao Início dos Serviços.

 

4.2 Os Serviços deverão começar na data efetiva do Início dos Serviços, conforme estabelecido na cláusula anterior, e deverão terminar com o cancelamento do registro do Vendedor na Categoria ou com o término deste Contrato.

 

4.3 A não ser que seja estipulado de outra forma, a AliExpress terá o direito de não iniciar o Serviço ou terminar antecipadamente este Contrato, dentro de trinta (30) dias corridos, a partir da aceitação do Vendedor, caso ocorra qualquer uma das seguintes circunstâncias: (i) o Vendedor não tenha cumprido todas as condições estabelecidas na Cláusula 4.1 sobre o Início dos Serviços, ou (ii) a AliExpress notificar o Vendedor, por qualquer motivo, acerca de sua recusa em prestar os Serviços.

 

A AliExpress não será responsável por nenhum descumprimento nem deverá pagar qualquer quantia ou indenização no caso de término deste Contrato antes do Início dos Serviços, conforme estabelecido acima.

 

4.4 Uma vez iniciado o Serviço de Categoria, o Vendedor deverá apresentar uma solicitação à AliExpress e utilizar o nome de seu negócio de acordo com as regras pertinentes da AliExpress.

 

Cláusula 5. Serviços técnicos e despesas

 

5.1 A AliExpress fornecerá ao Vendedor os serviços técnicos relacionados ao conteúdo da Plataforma AliExpress, incluindo, sem limitação, o gerenciamento da Categoria, a publicação dos produtos da Categoria, os serviços de gestão de transações e qualquer outro software e serviços técnicos on-line, conforme especificado de tempos em tempos no "Contrato de Serviços de Transação Alibaba.com", que é incorporado ao "Contrato de Livre Associação Alibaba.com".

 

5.2 O Vendedor concorda em pagar à AliExpress a comissão de acordo com os Contratos de Usuário da Plataforma, em particular o Contrato de Serviços de Transação Alibaba.com e as Regras AliExpress para Vendedores da Plataforma do Brasil. A comissão deverá ser calculada para as transações concluídas pelo Vendedor de acordo com a tabela de taxas discriminadas nos Contratos. Fica expressamente pactuado que:

 

(a) com relação aos pedidos feitos pelos compradores das Jurisdições Aplicáveis, a comissão será cobrada pela Alibaba.com Singapore E-Commerce Private Limited em nome da AliExpress Russia Holding Private Limited; e

 

(b) caso contrário, a comissão será cobrada pela Alibaba.com Singapore E-Commerce Private Limited em seu próprio nome e por conta própria.

 

Cláusula 6. Direitos e obrigações da AliExpress

 

6.1 A AliExpress tem a obrigação de realizar trabalhos de manutenção para o funcionamento normal dos Serviços da Categoria, a fim de permitir que o Vendedor possa conduzir corretamente suas atividades dentro da Categoria à qual aderiu. A AliExpress tem o direito de fazer ajustes no tipo, condições de comercialização e quantidade dos produtos publicados pelo Vendedor (incluindo, mas sem se limitando, a alterar o estoque para 0), de acordo com as circunstâncias de cada Categoria, o escopo de atividade do Vendedor e as circunstâncias efetivas de sua atividade, particularmente, mas não se limitando a, quando o Vendedor tiver violado qualquer disposição deste Contrato. Além disso, o Vendedor autoriza expressamente a AliExpress a ajustar as condições de comercialização dos produtos publicados pelo Vendedor quando for necessário ajustá-las às condições das promoções às quais o Vendedor tenha decidido aderir.

 

6.2 Em caso de violação do Contrato ou dos Contratos de Usuário da Plataforma pelo Vendedor, ou se a AliExpress tiver razões para suspeitar que o Vendedor está conduzindo ou pode conduzir ações que sejam prejudiciais aos consumidores, aos terceiros titulares de direitos ou à AliExpress em violação deste Contrato ou dos Contratos de Usuário da Plataforma ou da lei aplicável, a AliExpress terá o direito de tomar medidas para a Administração da Plataforma AliExpress com relação à conta AliExpress do Vendedor (incluindo, mas sem se limitando, a alterar o estoque para 0), bem como quaisquer outras contas AliExpress administradas pelo Vendedor.

 

6.3 A AliExpress tem o direito de estabelecer e alterar as regras de adesão aplicáveis a cada Categoria, entre outras, para manter o funcionamento normal de cada Categoria.

 

6.4 A AliExpress não tem obrigação de realizar auditorias nas ações comerciais do Vendedor na Plataforma AliExpress, nos produtos, ou em quaisquer outras ações pertinentes às transações realizadas na Plataforma AliExpress. Entretanto, caso a AliExpress tenha motivos para suspeitar de que o Vendedor esteja conduzindo ou possa conduzir quaisquer ações em violação a este Contrato ou aos Contratos de Usuário da Plataforma ou à lei aplicável, prejudicando os direitos dos consumidores, dos terceiros titulares de direitos, ou da AliExpress durante as transações, a AliExpress terá o direito de conduzir auditorias e exigir que o Vendedor forneça quaisquer documentos de suporte pertinentes.

 

6.5 Sem prejuízo do acima exposto, a AliExpress tem o direito, mas não a obrigação, de conduzir inspeções aleatórias dos produtos vendidos (ou a serem vendidos) pelo Vendedor para verificar sua origem legítima e exigir que o Vendedor forneça os documentos de suporte correspondentes. A AliExpress tem o direito, após conduzir um exame inicial da legitimidade dos produtos de acordo com as circunstâncias e regras aplicáveis, de tratar os produtos conforme estabelecido na legislação aplicável.

 

6.6 A AliExpress tem o direito de estabelecer os critérios de controle de qualidade para os produtos de cada Categoria, levando em conta os requisitos de qualidade para os produtos publicados em seu local de origem, venda, distribuição ou em qualquer outro local, e de estabelecer os requisitos para entrada e critérios para inspeção dos produtos do Vendedor.

 

6.7 A AliExpress não será, em nenhum caso, responsável pelas obrigações decorrentes das transações comerciais que Você realizar com os usuários através da Plataforma AliExpress. Em particular, mas sem limitação, a AliExpress não será responsável pela entrega dos produtos, sua condição e adequação, pelo efetivo cumprimento do direito de arrependimento dos usuários, por oferecer as garantias legais estabelecidas pela legislação vigente, por oferecer serviços pós-venda, etc.; cuja responsabilidade recai sobre você como Vendedor.

 

Cláusula 7. Representações e garantias do Vendedor

 

7.1 O Vendedor tem a capacidade legal e de atuação para assinar este Contrato, utilizar os Serviços de Categoria e realizar a venda dos produtos e a prestação dos serviços a eles pertinentes, de acordo com a legislação aplicável, que se compromete a cumprir a todo momento. Em particular, mas sem limitação, o Vendedor confirma que é e se compromete a continuar sendo o titular de todas as licenças e autorizações administrativas necessárias para a comercialização lícita dos produtos na Plataforma AliExpress. O Vendedor compromete-se a assegurar que todas as ações realizadas sob este Contrato sejam executadas por pessoal/prepostos com capacidade e poderes suficientes para representar e vincular legalmente o Vendedor.

 

7.2 O Vendedor compromete-se a agir de boa fé na Plataforma AliExpress, a respeitar o princípio de integridade, honestidade e justa concorrência, a proteger efetivamente os direitos dos consumidores e de terceiros titulares de direitos, a não conduzir atividades, e/ou transações desleais, ilegais, falsas ou inexatas, ou que violem a moral e a ordem pública ou que sejam prejudiciais ao mercado justo e à boa fé da Plataforma AliExpress. Em particular, mas sem limitação, o Vendedor não poderá:

 

(a) oferecer descontos enganosos tais como (i) aumentar o preço original do produto imediatamente antes da campanha ou promoção com a intenção de criar uma falsa impressão promocional, ou (ii) fazer publicidade a um produto com desconto de um preço que nunca foi oferecido ou foi oferecido durante um período de tempo insignificante antes de ofertado um desconto;

 

(b) exibir um preço excessivamente elevado, baixo ou enganador, tal como (i) explorar circunstâncias excepcionais para vender produtos a preços muito elevados ou (ii) fazer publicidade  de um produto ou serviço a um preço, mas na verdade ele não está disponível ao preço ofertado;

 

(c) anunciar produtos ou serviços com desconto por um "período limitado" para induzir os consumidores a acreditar que existe um benefício de preço e escassez na disponibilidade dos preços promocionais mas, de fato, os descontos estão disponíveis por um período prolongado; e

 

(d) empregar embalagens enganosas para induzir os consumidores a acreditar que dentro da embalagem do produto existe uma maior quantidade do que aquela que será entregue, que o produto é de melhor qualidade ou possui certas características não condizentes com a realidade.

 

7.3 O Vendedor se compromete a fornecer à AliExpress e aos consumidores informações e documentos verdadeiros, legítimos, corretos, atualizados e válidos, e a assegurar que informações tais como seu endereço de e-mail, número de telefone, endereço postal e código postal estejam atualizados, assegurando que a AliExpress e outros usuários possam usar os dados pertinentes para entrar em contato com o Vendedor. Da mesma forma, o Vendedor tem a obrigação de fornecer informações e documentos atualizados caso haja quaisquer alterações.

 

7.4 O Vendedor se compromete a não publicar produtos não específicos numa Categoria específica e a não publicar produtos específicos numa Categoria não específica.

 

 

7.5 O Vendedor declara que é e se compromete a ser, durante a vigência do Contrato, o titular de todos os direitos sobre os produtos publicados, incluindo, sem limitação, a propriedade ou outro direito de uso legítimo da marca registrada e quaisquer outros direitos aplicáveis de propriedade intelectual e industrial. Da mesma forma, o Vendedor se compromete a não publicar ou comercializar produtos que violem a marca registrada ou outros direitos de propriedade intelectual ou industrial ou direitos de comercialização de terceiros, ou cometer atos de concorrência desleal através da Plataforma AliExpress. O Vendedor declara que é e se compromete ser, durante a vigência do Contrato, autorizado a vender produtos em sua jurisdição de origem (bem como a qualquer outra jurisdição para a qual o Vendedor possa vender através da AliExpress), e em particular através de plataformas de mercado on-line, tais como a Plataforma AliExpress.

 

7.6 O Vendedor compromete-se a utilizar os dados obtidos da AliExpress somente para realizar as transações pertinentes na Plataforma AliExpress, comprometendo-se a não realizar qualquer outra ação, incluindo, mas sem limitação, a cópia, distribuição ou qualquer outra comunicação pública dos dados de outros usuários publicados na Plataforma AliExpress.

 

7.7 O Vendedor se compromete a aceitar quaisquer inspeções e auditorias realizadas, se for o caso, pela AliExpress com relação à origem legal dos produtos. O Vendedor tem a obrigação de manter quaisquer documentos que possam provar a origem legítima de seus produtos. Caso o Vendedor não possa provar a origem legítima dos produtos, a AliExpress avaliará a autenticidade dos produtos de acordo com as circunstâncias. O Vendedor aceita arcar com qualquer consequência decorrente de uma avaliação desfavorável.

 

7.8 O Vendedor se compromete a aceitar quaisquer inspeções aleatórias dos produtos que a AliExpress possa conduzir para verificar sua qualidade e autenticidade, a fim de manter a continuidade adequada do mercado e garantir os interesses dos consumidores e dos terceiros titulares de direitos (incluindo, mas sem limitação, inspeções conduzidas por inspetores de qualidade independentes ou titulares de marcas registradas, ou cooperação através de instruções a empresas de logística para conduzir tais inspeções). O Vendedor pode expressar seu desacordo com o resultado da inspeção por meio da apresentação de documentos de suporte. O Vendedor deverá suportar quaisquer despesas razoavelmente incorridas em quaisquer inspeções que identifiquem produtos irregulares ou produtos em violação aos direitos de propriedade intelectual ou industrial.

 

Cláusula 8. Direitos e obrigações do Vendedor

 

8.1 O Vendedor deverá cumprir este Contrato rigorosamente, incluindo, mas sem limitação, as representações e garantias, bem como com quaisquer leis aplicáveis que estejam em vigor de tempos em tempos.

 

8.2 O Vendedor deverá conduzir suas atividades de acordo com as Regras AliExpress para Vendedores da Plataforma do Brasil e quaisquer outras regras que regem a Plataforma AliExpress, e aceitar as penalidades impostas sob as Regras AliExpress para Vendedores da Plataforma do Brasil em caso de violação; em particular, mas sem limitação, o Vendedor se compromete a participar e cumprir as regras de quaisquer métodos para a resolução de desacordos que possam ser implementados na Plataforma AliExpress para lidar com reclamações de usuários ou terceiros detentores de direitos.

 

8.3 Sem prejuízo do disposto na cláusula 4.1 “d”, o Vendedor terá o direito de participar das promoções iniciadas ou organizadas pela AliExpress em datas e períodos especiais (por exemplo, mas sem limitação, liquidações, Natal, Dia dos Namorados, Dia das Mães, Dia dos Pais, Dia das Crianças, 11/11 e Black Friday) ou promoções para categorias específicas de produtos. O Vendedor deverá envidar melhores esforços para participar e consentir aos termos e condições para aderir a tais atividades promocionais.

 

8.4 O Vendedor deverá cumprir suas obrigações de proteção aos direitos do consumidor, conforme estabelecido pelas leis aplicáveis. Em particular, mas sem limitação, ele deverá: (i) garantir os direitos do consumidor a todo momento; (ii) cumprir com os requisitos estabelecidos pela lei aplicável no que diz respeito a devoluções, substituição, garantia legal e direito de arrependimento; e (iii) fornecer informações sobre o Vendedor, bem como sobre os produtos oferecidos para venda, fornecer serviços e garantias pós-venda de acordo com os requisitos legais e fornecer aos consumidores as informações legalmente exigidas antes e depois das transações.

 

8.5 O Vendedor deverá cumprir todas as leis e regulamentos aplicáveis (incluindo as leis e regulamentos brasileiros, sejam nacionais, estaduais ou municipais), incluindo, mas sem limitação, as leis relativas à aduana/alfândega, tributação, proteção dos direitos do consumidor, proteção de dados e quaisquer outros regulamentos aplicáveis.

 

8.6 O Vendedor se compromete a colaborar a todo momento com quaisquer autoridades competentes administrativas e legais.

 

Cláusula 9. Autorização para uso de dados

 

9.1 Com relação ao Início dos Serviços, Você desde já autoriza a AliExpress a utilizar e comunicar as informações públicas que fazem parte de seus dados (por exemplo, informações sobre sua licença de atividade).

 

Cláusula 10. Responsabilidade por infração

 

10. 1 Caso a AliExpress sofra danos, receba reclamações de usuários ou terceiros, ou esteja sujeita a sanções impostas por qualquer administração pública, órgãos jurisdicionais ou tribunais arbitrais, como resultado da violação, pelo Vendedor, das leis e regulamentos aplicáveis, decisão judicial ou administrativa, dos Contratos de Usuário da Plataforma, ou deste Contrato, Você deverá indenizar a AliExpress por todos os danos sofridos, incluindo, mas sem limitação: indenização por violação paga pela AliExpress ou qualquer outro valor pago a terceiros em qualquer tipo de determinação; os valores que a AliExpress teria pago aos compradores devido à devolução ou arrependimento, quebra de contrato ou indenização; as sanções impostas à AliExpress; os honorários e as despesas incorridos pela AliExpress quando necessário para remover conseqüências negativas, etc. A AliExpress tem direito à dedução preferencial do depósito feito pelo Vendedor, e o Vendedor deverá pagar qualquer diferença.

 

10.2 Caso o Vendedor deva qualquer quantia à AliExpress, a menos que as partes tenham acordado de outra maneira, durante o período em que o Vendedor se manter inadimplente perante à AliExpress deverá sofrer uma penalidade diária no valor de 0,5% da quantia que não foi paga.

 

10.3 Caso a AliExpress cause danos significativos ao Vendedor, devido a dolo ou culpa grave, a AliExpress deverá indenizar o Vendedor de acordo com a Cláusula 13 deste Contrato. A indenização por violação contratual ou indenização que a AliExpress deverá pagar ao Vendedor deverá ser calculada com base nos danos diretos e efetivos sofridos pelo Vendedor.

 

10.4 Se Você tiver tido seu contrato terminado pela AliExpress devido a uma distribuição de produtos que violem direitos de propriedade intelectual ou industrial, ou porque Você forneceu à AliExpress ou a seus usuários dados falsos, falsificados, desatualizados ou inválidos, isto será considerado como uma violação grave deste Contrato, e a AliExpress terá o direito de deduzir o valor total de Seu depósito, sem prejuízo das outras medidas previstas neste Contrato.

 

Cláusula 11. Confidencialidade

 

11.1 Para os fins deste Contrato, "Segredos Comerciais" significam, entre outros, este Contrato, qualquer outro contrato ou contrato suplementar, e quaisquer outras informações confidenciais obtidas, recebidas ou processadas como resultado do relacionamento entre as Partes. Nenhuma Parte poderá divulgar, revelar, editar ou exibir tais informações a terceiros sem o consentimento expresso da Parte aplicável. As obrigações de confidencialidade estabelecidas nesta Cláusula permanecerão em vigor por três (3) anos a partir da data de término deste Contrato.

 

11.2 Salvo disposição em contrário das regras aplicáveis, a Parte que divulgou ou revelou um Segredo Comercial será isenta de responsabilidade (a) quando a outra Parte tiver aprovado sua divulgação por escrito ou sua divulgação for exigida por qualquer autoridade pública ou legal, ou (b) quando a informação se tornar pública.

 

Cláusula 12. Prevenção de suborno

 

12.1 Caso seja constatado que o Vendedor, seus funcionários, gerentes, acionistas, representantes legais ou qualquer pessoa que exerça controle efetivo sobre o Vendedor, ou suas empresas relacionadas, tenha oferecido à AliExpress, empresas relacionadas à AliExpress, seus funcionários ou consultores qualquer benefício que exceda o comum, seja em gratificação, dinheiro, bens ou direitos semelhantes a dinheiro, serviços, viagens, etc., o Vendedor será considerado como partícipe de suborno.

 

12.2 Caso aconteçam as circunstâncias acima discriminadas, a AliExpress terá o direito de terminar qualquer relacionamento com o Vendedor (incluindo, entre outros, o relacionamento baseado neste Contrato) e (a critério da AliExpress) receber do Vendedor uma penalidade por quebra de contrato no valor de RMB 100.000,00 ou seu valor equivalente em reais à taxa de câmbio vigente de RMB/BRL e/ou indenização calculada com base nos danos financeiros e de imagem sofridos pela AliExpress devido ao ato de suborno.

 

Cláusula 13. Isenção e limitação de responsabilidade

 

13.1 Você reconhece e concorda que a AliExpress prestará os Serviços de Categoria de acordo com o "estado da arte" ou "melhor estado da arte alcançável" a qualquer momento. A AliExpress, com base no atual estado da arte, dedicará todos os esforços para oferecer as medidas de segurança aplicáveis e garantir a segurança e o funcionamento normal dos serviços. Entretanto, os Serviços são prestados "como são", sem nenhuma garantia ou condição de qualquer tipo, seja explícita ou implícita. A AliExpress declara expressamente que, devido à potencial existência de tais circunstâncias como vírus, interrupções na conexão de rede, manutenção do sistema, etc., bem como qualquer potencial força maior, não concede qualquer garantia em relação aos Serviços, explícita ou tacitamente. Em particular, não garante, entre outros aspectos, a aplicabilidade, ausência de erros ou falhas, continuidade, precisão ou confiabilidade dos Serviços, ou que eles sejam adequados para um propósito específico.

 

13.2 A AliExpress não será responsável por quaisquer danos ou perdas causadas pelas seguintes circunstâncias, incluindo, entre outras, lucros cessantes, goodwill, danos derivados do uso, perda de dados e outros danos ou perdas intangíveis (independentemente de a AliExpress ter sido notificada da potencial existência de tais danos).

 

13.3 Você reconhece que a AliExpress e suas empresas relacionadas não são órgãos judiciais e não são responsáveis pela verificação de seu cumprimento ou não-infração das leis e regulamentos aplicáveis e outros direitos de terceiros. Portanto, quando se trata de verificar documentos e materiais fornecidos por Você e pelos compradores, a AliExpress só poderá fazê-lo a um nível de conhecimento ordinário, não profissional, de maneira meramente superficial. Você desde já garante que os documentos e materiais que Você fornece são autênticos, corretos, atualizados e legais, e assume quaisquer riscos decorrentes da falsidade, ilegalidade e imprecisão das informações ou dados fornecidos por Você ou pelo comprador. Caso Você sofra qualquer dano devido ao acima exposto, Você concorda que deverá apresentar uma reclamação diretamente contra a parte infratora. Caso a AliExpress e suas empresas relacionadas medeiem a disputa, Você reconhece e concorda que a AliExpress somente agirá sob suas instruções. A AliExpress e suas empresas relacionadas não podem garantir que o resultado da mediação atenderá às suas expectativas, e não serão responsabilizadas pelo resultado da mediação ou, se aplicável, pelo pagamento de qualquer garantia.

 

13.4 Você reconhece e concorda que a responsabilidade máxima da AliExpress, e suas empresas relacionadas em relação a este Contrato, e decorrente de sua aceitação e aplicação será de RMB 3.000,00 ou seu valor equivalente em reais à taxa de câmbio vigente de RMB/BRL. Para este fim, se uma quebra de contrato ou responsabilidade civil ocorreu, se houve dolo, ou se Você pagou à AliExpress por quaisquer despesas, será irrelevante. Tudo isso sem prejuízo da isenção ou limitação de responsabilidade da AliExpress em virtude deste Contrato ou de qualquer outro acordo ou pacto assinado com Você.

 

Cláusula 14. Término do Contrato

 

14.1 Término automático:

 

(a) Sem prejuízo do disposto na Cláusula 3.5, este Contrato terminará no final de seu período de vigência.

 

(b) Quando os Acordos de usuário da plataforma, tais como, e sem limitação, o "Acordo de Livre Associação Alibaba.com", e o "Acordo de Serviço de Transação Alibaba.com", ou os outros contratos assinados por Você terminarem por qualquer motivo, este Contrato será automaticamente terminado.

 

14.2 Término antecipado:

 

(a) Salvo acordado de maneira diversa, qualquer uma das Partes poderá terminar este Contrato mediante notificação por escrito à outra Parte, com prazo não inferior a trinta (30) dias corridos, independentemente de culpa. Se o Vendedor clicar no botão "Solicitar saída" na Plataforma AliExpress (se aplicável) para solicitar o término deste Contrato, será considerado que o Vendedor fez a comunicação por escrito para o término deste Contrato. O Vendedor deverá entrar imediatamente no Processo de Cancelamento de Registro.

 

(b) Qualquer Vendedor que comercialize marcas especiais deverá cumprir com as condições listadas nas regras aplicáveis da AliExpress que podem ser anunciadas por Nós de tempos em tempos, e só poderá terminar este Contrato com a autorização da AliExpress após confirmar que as seguintes condições foram cumpridas:

 

- Não há transações pendentes envolvendo produtos das marcas em sua área;

 

- Não há "Serviços de Garantia de Produtos" pendentes de resolução para os produtos das marcas em sua área;

 

- Não há reclamações pendentes relativas aos produtos das marcas em sua área, e todas as indenizações foram pagas e liquidadas.

 

(c) Em qualquer um dos seguintes casos, a AliExpress tem o direito de terminar imediatamente a prestação dos Serviços de Categoria e/ou terminar este Contrato, sem qualquer responsabilidade:

 

- Você não pagou até o prazo estabelecido, e Você não fez o referido pagamento até o prazo estabelecido para a AliExpress após uma reclamação ter sido apresentada;

 

- Você forneceu informações ou documentos falsos, incorretos, ilegais, desatualizados ou inválidos, ou o Vendedor não pode provar a veracidade, correção, legalidade, natureza atualizada ou validade de suas informações ou documentos;

 

- Você violou as leis, regulamentos e políticas do país em questão (incluindo as leis e regulamentos brasileiros, sejam nacionais, estaduais ou municipais), e em particular, mas sem limitação, Você se violou as regras alfandegárias/aduaneiras, tributárias, de proteção dos direitos do consumidor, de proteção de dados e quaisquer outros regulamentos aplicáveis;

 

- Você violou qualquer representação ou garantia, ou Você violou as disposições das Cláusulas 10 ou 11;

 

- Você violou os Contratos de Usuário da Plataforma ou regulamentos relacionados, a AliExpress procedeu ao cancelamento do seu registro, ou terminou os Contratos de Usuário da Plataforma celebrados com Você;

 

- Você violou os Critérios de Avaliação de Desempenho e/ou os padrões de gerenciamento da operação;

 

- Você quebrou qualquer contrato com empresas relacionadas à AliExpress;

 

- Você cometeu ou pode cometer outras ações que prejudiquem seriamente os interesses ou a reputação comercial da AliExpress, ou os interesses dos usuários da Plataforma AliExpress ou de terceiros.

 

(d) Se o Vendedor não tiver feito login na AliExpress usando o nome de usuário e senha da conta AliExpress por mais de noventa (90) dias, a AliExpress tem o direito de terminar este Contrato.

 

(e) A ocorrência ou a verificação de qualquer outra condição para término estipulada neste Contrato, levando ao término.

 

14.3 Ações após o término do Contrato:

 

(a) Uma vez terminado este Contrato, a AliExpress não tem a obrigação, nos termos deste Contrato, de manter quaisquer dados ou informações referentes aos Serviços de Categoria na conta do Vendedor, ou encaminhar quaisquer informações a terceiros, e não será responsável perante o Vendedor ou terceiros devido ao término deste Contrato.

 

(b) Você se compromete a continuar a cumprir, com relação às transações conduzidas na Plataforma AliExpress, todas as leis aplicáveis a tais transações, em particular, mas sem limitação, as leis aplicáveis à venda aos consumidores, tais como garantias, serviços pós-venda, proteção de dados e qualquer outra regulamentação aplicável.

 

(c) Independentemente dos motivos do término deste Contrato, qualquer indenizaçao ou responsabilidade por ações anteriores a sua rescisão será assumida em sua totalidade pelo Vendedor.

 

(d) A AliExpress tem o direito de remover qualquer informação disponibilizada pelo Vendedor sobre os produtos de cada Categoria, e qualquer outra informação relacionada, quando o Vendedor sair de tal Categoria ou devido ao término deste Contrato.

 

(e) Caso o Vendedor tenha chegado a um acordo/ transação com um comprador AliExpress em relação a um determinado produto, a AliExpress tem o direito de cancelar tal transação a seu próprio critério. A AliExpress tem o direito de notificar o comprador na referida transação acerca do término deste Contrato.

 

14.4 Ações anteriores ao término do Contrato:

 

(a) Conclusão do Processo de Cancelamento de Registro. Quando o Vendedor solicitar o término, ou a AliExpress tomar a decisão de terminar, a prestação dos Serviços de Categoria e/ou este Contrato, o Processo de Cancelamento de Resgistro será iniciado e o Vendedor deverá:

 

- Processar e concluir todas as transações em andamento;

 

- Processar e concluir todas as disputasrelativas às transações, controvérsias sobre a violação de direitos, ou qualquer outra infração ou violação;

 

- Cumprir com qualquer sanção recebida, pagar qualquer multa imposta; e

 

- Garantir que não haja outras violações de contrato ou obrigações pendentes e exigíveis sob outras relações contratuais.

 

(b) Uma vez iniciado o Processo de Cancelamento de Registro, a AliExpress terá o direito de suspender ou encerrar, total ou parcialmente, a prestação dos Serviços de Categoria.

 

(c) Quando o Vendedor tiver concluído o Processo de Cancelamento de Registro para cada Categoria, caso algum pagamento tenha que ser reembolsado, ele deverá ser pago dentro de trinta (30) dias úteis da saída do Vendedor de cada Categoria. No caso de término deste Contrato, o reembolso deverá ser feito dentro de trinta (30) dias úteis a partir de seu término.

 

Cláusula 15. Notificações

 

15.1 Uma vez que Você tenha sido incluído em uma Categoria e tenha aceito os serviços da Plataforma AliExpress, Você deve garantir a validade dos dados de contato fornecidos no perfil do Vendedor (incluindo seu endereço de e-mail, número de telefone, endereço postal, etc.). Se seus dados de contato forem alterados, Você tem a obrigação de fornecer imediatamente os dados pertinentes em inglês e no idioma local do país/países aos quais você vende através da Plataforma AliExpress, para que Nós possamos localizá-lo.

 

15.2 A conta de usuário (incluindo subcontas) gerada quando Você cria seu login na Plataforma AliExpress para acessar a Plataforma AliExpress e receber mensagens e informações do sistema e através de qualquer fórum de discussão disponibilizado pela AliExpress e/ou suas afiliadas será meio válido para comunicação.

 

15.3 A AliExpress poderá enviar-lhe mensagens usando um ou mais dos meios especificados nas cláusulas 15.4 e 15.2. Essas comunicações podem conter informações que possam ter um impacto positivo ou negativo em seus direitos e obrigações, portanto, Você deve estar em dia com elas.

 

15.4 Comunicações enviadas pela AliExpress: (i) se feitas por escrito por meios eletrônicos, incluindo, mas sem limitação, comunicações públicas na Plataforma AliExpress, as mensagens de texto enviadas ao número de telefone fornecido por Você, os e-mails enviados ao endereço de e-mail fornecido por Você, as mensagens do sistema e as mensagens internas do website serão consideradas como validamente entregues quando enviadas com sucesso; (ii) se feitas por escrito em papel, também serão consideradas como validamente entregues a partir do quinto dia do calendário a partir do dia em que o envio foi feito para o endereço postal fornecido.

 

15.5 Com relação a qualquer disputa decorrente das atividades transacionais na Plataforma AliExpress, Você autoriza a entrega de documentos legais (incluindo, sem limitação, pedidos/reclamações) vindos de autoridades judiciais, tribunais arbitrais ou autoridades administrativas através do meio especificado na cláusula 15.4 acima ou por qualquer outro meio ou pelo correio. O número de telefone celular, o endereço de e-mail e outros canais de comunicação especificados por Você são o número de telefone celular, o endereço de e-mail e outros canais de comunicação fornecidos durante o registro e atualização de sua conta da Plataforma AliExpress. Os documentos legais enviados pelo judiciário, arbitragem ou autoridades administrativas através dos meios acima serão considerados como entregues conforme estipulado na cláusula anterior. O endereço postal especificado por Você é seu endereço legal para contato ou o endereço postal válido para comunicações com as quais Você nos forneceu.

 

15.6 Você aceita que o Judiciário, a arbitragem ou as autoridades administrativas possam enviar-lhe documentos legais através de um ou mais dos meios de comunicação acima mencionados. Quando feito através de vários meios, o momento da entrega será o do meio que for recebido pela primeira vez.

 

15.7 Você aceita que os meios acima mencionados para entrega serão aplicáveis a todas as etapas dos procedimentos judiciais, arbitrais ou administrativos pertinentes, e que, caso tais procedimentos sejam iniciados, eles serão aplicáveis, incluindo, sem limitação, à primeira instância e instâncias subsequentes, assim como aos procedimentos de execução ou desdobramentos.

 

15.8 Você deve assegurar que os canais/meios de comunicação fornecidos sejam corretos, válidos e devidamente atualizados. Caso a entrega de quaisquer documentos legais seja atrasada ou impedida devido à inexatidão dos canais/meios de comunicação ou à falha em atualizá-los após mudanças, Você será responsável por quaisquer consequências legais que possam surgir.

 

Cláusula 16. Cessão de direitos e obrigações

 

16.1 Os direitos e permissões detidos pela AliExpress conforme este Contrato podem ser total ou parcialmente terceirizados, cedidos, transferidos, licenciados, delegados ou sublicenciados a empresas relacionadas ou a qualquer terceiro sem necessidade de Você autorizar previamente. Você não poderá transferir os direitos e obrigações conforme este Contrato a qualquer terceiro sem autorização prévia por escrito da AliExpress.

 

Cláusula 17. Diversos

 

17.1 Com relação aos assuntos materiais que não forem acordados ou não são afetados por este Contratos, aplicar-se-ão as Regras AliExpress para Vendedores da Plataforma do Brasil, os Contratos de Usuário da Plataforma ou quaisquer outras regras aplicáveis da Plataforma AliExpress.

 

17.2 Caso qualquer cláusula ou parte de cláusula seja declarada inválida ou não executável, tal cláusula ou parte de cláusula deverá ser removida, sendo que as outras cláusulas ou parte de cláusulas manterão sua plena eficácia legal.

 

17.3 A validade, interpretação, modificação, execução e solução de conflitos relativos a estas cláusulas serão regidas pelas leis da Região Administrativa Especial de Hong Kong da República Popular da China ("Hong Kong").

 

17.4 Quaisquer controvérsias decorrentes da assinatura, cumprimento ou interpretação deste Contrato, ou de outra forma entre o Vendedor e a AliExpress, deverão ser resolvidas mediante acordo amigável.

 

Caso não se chegue a um acordo, a AliExpress e Você aceitam submeter-se aos tribunais e cortes de Hong Kong.

 

Não obstante ao acima exposto, a AliExpress poderá cooperar com órgãos de mediação para chegar a um acordo extrajudicial de disputas com Vendedores que estejam atuando no contexto de suas atividades comerciais ou profissionais. Antes de iniciar tal processo de mediação, os Vendedores deverão tentar resolver a controvérsia entrando em contato com o serviço de atendimento ao cliente da AliExpress (através do chat on-line de suporte ao vendedor). A AliExpress não é obrigada a se envolver em tal processo de mediação e isto não afeta o direito do Vendedor ou da AliExpress de instaurar procedimentos legais, durante ou após o processo de mediação. 

 

17.5 Em caso de conflito entre a versão em inglês e a versão em qualquer outro idioma deste Contrato, a versão em inglês prevalecerá.
